1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and MAGIX AI NW LTD ("Company", "we", "our", or "us") concerning your use of the VoiceMate Chrome extension and related services (collectively, the "Service").

By installing, accessing, or using VoiceMate, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Service.

2. Description of Service

VoiceMate is a Chrome browser extension that provides speech-to-text dictation functionality. The Service includes:

• Free Trial: 30 minutes of dictation across all supported languages
• Pro Subscription: Unlimited dictation time with premium features

The Service uses your browser's built-in Web Speech API for speech recognition. Depending on your browser version, audio may be processed on-device or sent to Google's servers. VoiceMate does not collect or store audio data — see our Privacy Policy for details.

3. Eligibility

To use VoiceMate, you must:

• Be at least 13 years of age (or the minimum age in your jurisdiction)
• Have a compatible Chrome browser installed
• Have a working microphone
• Accept these Terms and our Privacy Policy

4. Account Registration

The free trial does not require an account. To subscribe to Pro:

• You must provide accurate, complete information
• You are responsible for maintaining account security
• You must notify us immediately of any unauthorised access
• One account per person; sharing is prohibited

5. Subscription and Payment

5.1 Pricing

• Pro Monthly: £2.99/month
• Pro Annual: £24.99/year (save 30%)

All prices are in British Pounds (GBP) and include applicable VAT.

5.2 Billing

• Payments are processed securely through Stripe
• Subscriptions renew automatically unless cancelled
• You will be charged at the start of each billing cycle

5.3 Cancellation

• Cancel anytime through your account settings
• Access continues until the end of your billing period
• No refunds for partial periods

5.4 Refunds

We offer a 14-day money-back guarantee from the date of purchase. During this period, you may request a full refund for any reason via your account page.

Additional refund circumstances:

• Duplicate charges or billing errors (at any time)
• As required by applicable law

6. Acceptable Use

You agree NOT to use VoiceMate to:

• Violate any laws or regulations
• Infringe on intellectual property rights
• Transmit harmful, offensive, or illegal content
• Attempt to reverse engineer, decompile, or modify the extension
• Circumvent usage limits or licensing restrictions
• Interfere with or disrupt the Service
• Use automated systems to access the Service
• Share your account or license with others

7. Intellectual Property

All rights, title, and interest in VoiceMate, including but not limited to:

• Software code and architecture
• User interface design
• Trademarks and logos
• Documentation and content

remain the exclusive property of MAGIX AI NW LTD. Your use of the Service does not grant you any ownership rights.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Implied warranties of merchantability
• Fitness for a particular purpose
• Non-infringement
• Accuracy of speech recognition

We do not guarantee that the Service will be uninterrupted, error-free, or completely accurate.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MAGIX AI NW LTD SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, data, or business opportunities
• Damages arising from your use or inability to use the Service

Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim, or £50, whichever is greater.

10. Indemnification

You agree to indemnify and hold harmless MAGIX AI NW LTD, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights

11. Termination

We may terminate or suspend your access to the Service:

• For violation of these Terms
• For suspected fraudulent or illegal activity
• At our sole discretion with reasonable notice

Upon termination, your right to use the Service ceases immediately.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by:

• Updating the "Last updated" date
• Email notification for significant changes (Pro subscribers)

Continued use after changes constitutes acceptance of the new Terms.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

14. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

15. Entire Agreement

These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and MAGIX AI NW LTD regarding the Service.
